Terms & Conditions
These Terms & Conditions govern the provision of web design and development services by Groww Businezz (the "Provider") to the client (the "Client"). By engaging the Provider you accept these terms.
Effective date: 19 October 2026Last updated: 19 October 2026
1. Services and Scope
Services will be defined in a written proposal or statement of work (SOW). The SOW sets deliverables, timelines, milestones, accepted revisions and any excluded items. Any work outside the agreed scope will require a change order and additional fees.
2. Proposals, Quotes & Acceptance
Proposals are valid for the period stated. A project begins once the Client signs the proposal and pays any required deposit. The Provider may pause work if required information or approvals are delayed.
3. Payment Terms
- Fees and payment schedule are specified in the proposal.
- A non‑refundable deposit may be required before work starts.
- Invoices are payable within the period stated on the invoice. Late payments may incur interest and suspension of services.
4. Revisions & Change Requests
The number of included revisions is defined in the SOW. Minor changes within the revision scope are included; major scope changes are billed separately and may affect delivery dates.
5. Delivery, Handover & Acceptance
Deliverables (design files, code, documentation) will be provided as agreed (e.g. staging URL, Git repository, ZIP archive). The Client must review deliverables within the acceptance period specified in the SOW; failure to respond is treated as acceptance. How and when work is delivered is explained in our Shipping & Delivery Policy.
6. Intellectual Property
Unless otherwise agreed, the Provider retains ownership of source files and reusable code libraries. Upon full payment, the Provider grants the Client a licence or transfers ownership of final deliverables as specified in the SOW. The Provider may display work in portfolios unless a separate confidentiality agreement is in place.
7. Client Responsibilities
The Client must provide timely feedback, content, credentials and approvals. Delays caused by the Client may extend timelines and may incur additional fees.
8. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties, except as required by law.
9. Warranties & Disclaimers
The Provider warrants that services will be performed with reasonable skill and care. Except for that warranty, services and deliverables are provided "as is" and the Provider disclaims all other warranties (express or implied).
10. Limitation of Liability
To the extent permitted by law, the Provider's total liability for any claim related to services is limited to the total fees paid by the Client for the relevant project. The Provider is not liable for indirect, incidental or consequential losses.
11. Cancellation & Refunds
Cancellation and refund terms are governed by the Cancellation & Refund Policy. Deposits are generally non‑refundable as stated in the proposal.
12. Third-Party Services
The Provider may integrate third‑party tools or services (hosting, analytics, plugins). The Client accepts any third‑party terms and fees associated with those services.
13. Termination
Either party may terminate the agreement as set out in the SOW. On termination the Client will pay for work completed up to the termination date and any non‑recoverable costs.
14. Governing Law
These terms are governed by the laws of the jurisdiction where the Provider operates. Disputes should first be addressed by good‑faith negotiation.
